We are looking for a:

Manager M&A/Business Development (m/f/d)
(based in Germany or Netherlands)


In this role, you will report directly into and work closely with the Head of Strategy & Scaling. Your role is key to delivering the growth strategy of the business. You will be responsible for driving and executing all aspects of the company's M&A activities. This will include developing and implementing strategies, negotiating and executing transactions, and managing post-acquisition integration. In addition, you will be responsible to drive specific business development initiatives, ranging from the development of specific business cases to the implementation of business development initiatives.

Job requirements

What would be your responsibilities and duties?

  • Market Intelligence:
    • Develop and lead a center of excellence inside the organization for commercial competitive intelligence, industry insights and market trends in collaboration with and through coordination of relevant stakeholders (GEM, PM, Marketing)
  • Strategy and Special Projects:
    • Conduct in-depth analysis together with leadership team on selected strategic deep-dive topics (e.g. individual country strategies, ARC strategy) to support decision-making and drive business performance.
    • Collaborate with senior leadership (GEM, MDs, etc.) to identify, prioritize, and address key strategic initiatives and business challenges
    • Develop actionable recommendations and presentations to communicate insights and findings to relevant stakeholders.
    • Support the senior leadership team in the annual strategy process
  • M&A / investment decisions:
    • M&A process and pipeline:
      1. Build and maintain a robust pipeline of prospective M&A opportunities, leveraging industry insights, market trends, and competitor analysis.
      2. Research and identify potential M&A targets aligned with our strategic objectives, market positioning, and growth ambitions.
      3. Develop relationships with internal and external stakeholders including investment banks, brokers, consultants and management teams of potential targets to facilitate deal flow.
      4. Support the development and documentation of a standardized M&A process
    • Business analysis:
      1. Prepare relevant business cases, including financial models, valuation analyses, and investment proposals to support decision-making within BW and Haniel.
      2. Collaborate with cross-functional teams to evaluate strategic fit, synergies, risks, and opportunities associated with potential acquisitions and other strategic decisions (e.g. product/buy or build)
    • Transaction execution:
      1. Drive the end-to-end execution of M&A transactions, including negotiation, structuring, documentation, and closing.
      2. Lead comprehensive due diligence processes for potential M&A transactions, assessing financial, operational, legal, and regulatory aspects.
      3. Coordinate with legal, finance, tax, and other relevant functional teams to ensure timely execution and compliance with regulatory requirements.
      4. Manage integration planning and post-merger integration efforts to maximize value creation and synergies.

Formal qualifications/experience

  • 5+ years of experience in startup, consulting, M&A (e.g. IB, PE), or a related field.
  • Entrepreneurial experience or experience in a high-growth environment (start-up, scale-up) will be a plus
  • Track record of executing successful M&A transactions including strong analytical & financial modeling skills
  • Ability to work independently and take initiative. Highly organized and detail-oriented.
  • Excellent communication, presentation, and negotiation skills.
  • Able to show history of building and maintaining relationships with stakeholders at all levels
  • Extensive knowledge of the M&A process, including due diligence, valuation, negotiation, and post-merger integration.
  • Preferably higher degree (MSc) in business, finance, or a related field
